Experience
Westmark Law has extensive experience negotiating and drafting physical and virtual power purchase agreements (PPAs) and renewable energy credit (REC) purchase and sale agreements for utility-scale wind and solar projects in regions across the United States, including the WECC, CAISO, ERCOT, PJM, MISO, NYISO, ISO-NE.
In addition to offtake agreements, Westmark Law has comprehensive experience with matters involving all other aspects of developing, operating, selling, or acquiring renewable assets, including merger and acquisition transactions (membership interest/asset purchase agreements); tax equity financing documents; interconnection and transmission arrangements and disputes; operations and maintenance agreements; build out agreements; and shared facilities agreements.
Westmark Law advises on the complex issues and disputes that can arise during construction and operation of renewable energy projects, leading negotiations and handling the drafting of related documentation in the form of amendments, settlements, letter agreements, notice letters, etc.
Jasmine Hites
Westmark Law’s founder, Jasmine Hites, has comprehensive experience in negotiating and drafting project contracts for utility-scale and C&I renewable energy projects. Jasmine takes a commonsense approach to problems and pursues solutions that balance moving deals forward while also securing the terms that her clients need. Jasmine values clarity and has a knack for pointing out, explaining, and resolving ambiguities, elevating her client’s understanding of the risk and benefits of each aspect of a transaction.

Jasmine operates from both an energy and a transmission perspective, and her background spans the realms of regulatory compliance, administrative litigation, and complex, high-value transactions. Over the course of her career, she has provided legal and strategic guidance in the development, construction, and operation of over twelve gigawatts of wind, solar, biomass, storage, and hydro projects, from small qualifying facilities to utility scale projects over 300 MW.
She most recently served as in-house counsel at two of the largest renewable energy developers in the US. Prior to being in-house counsel, Jasmine worked at a top national law firm with a leading energy group where she provided regulatory and transactional advice to clients, largely practicing before the Federal Energy Regulatory Commission and the Bonneville Power Administration.

With over ten years of experience, touching on all aspects of energy transactions and the related state and federal regulatory frameworks, we have been involved in a number of "first of a kind" transactions, working alongside our clients to innovate new frameworks for transactions that prioritize renewable energy and pioneering technologies.
